Disney won the endorsement of a key proxy adviser in its fight against Nelson Peltz's Trian Partners, which is trying to get two seats on its board. Glass Lewis, one of the two major proxy advisers along with ISS, recommended that Disney shareholders vote for the company's director nominees and not for Trian's candidates, which include Peltz. Glass Lewis said Disney already has a credible plan underway and it struggles to see Trian's ideas as a net gain for investors.

Trian has been trying to revive itself after its investors pulled billions of dollars and family tensions prompted a string of employee exits, The Wall Street Journal reported last month. Trian is aiming for two seats on Disney’s board, including one for Peltz.
Nelson Peltz, given a few minutes to speak at Disney’s annual meeting, noted several changes Disney has made since his firm, Trian Partners, bought its shares. Disney cut costs, set double-digit margin targets for the streaming business, added two new directors and announced ESPN-related initiatives, among other things, he said.
Nelson Peltz may have suffered a bruising defeat in his proxy battle with Disney Wednesday, but the sting could be eased by a gain the activist has scored on the investment. Peltz’s Trian Partners has made around $300 million in profit on its 16-month investment, most of it on paper, according to people familiar with the matter. The firm invested around $800 million in Disney in 2022, buying much of its stake when shares were around $88 apiece.
